By payment of the fee of $1,750.00 and purchase of the 2-Week Observership Program in USA,  the purchasing party (“Client”) hereby acknowledges that MD2B Connect shall provide access to its pool of physicians for shadowing purposes.
 
Client acknowledges that all services provided by MD2B Connect are as an independent contractor and does not create an employer-employee relationship between the MD2B Connect and the Client.
 
Client agrees to conduct himself or herself in accordance with the highest standards of morality, honesty, and professionalism and agrees not commit any act of dishonesty or moral turpitude or that otherwise could materially injure the host physician’s or MD2B Connect’s reputation or otherwise be detrimental to the host physician, any employees of the host physician, or MD2B Connect or which shall subject any of these individuals or entities to injury, liability or contempt.  In the event that a placement is terminated by the hosting physician due to any act by Client in violation of any criminal statute or due to commission of any act of moral turpitude or other behavior deemed unacceptable by the host physician or MD2B Connect, then MD2B Connect may terminate the placement and no refund of any monies paid shall be due or owing to Client.   
 
MD2B Connect shall be excused from any delay or failure in performance required hereunder if caused by reason of any occurrence or contingency beyond its reasonable control, including, but not limited to, acts of God, acts of war, fire, insurrection, strikes, lock-outs or other serious labor disputes, riots, earthquakes, floods, explosions or other acts of nature.  The obligations and rights of the Party so excused shall be extended on a day-to-day basis for the time period equal to the period of such excusable interruption.
 
The Services to be performed by MD2B Connect hereunder are personal in nature, and Client has engaged MD2B Connect as a result of its expertise relating to such services. The Parties agree that this Agreement is not assignable by Client without MD2B Connect’s written consent.  
 
Refunds will be processed on a case-by-case basis. Depending on the situation and agreement, MD2B Connect holds the right to withhold up to the entire cash amount of the service. 
 
This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without giving effect to any choice of law or conflict of law provisions. Client consents to the exclusive jurisdiction and venue in the courts of the State of Michigan.
